TERMS OF SERVICE
These terms cover buying and using nedsounds software, including Elude, and the license you get with it. We've kept them as short and plain as we could.

nedsounds is run by Denis Rossato, Vicenza, Italy. You can reach us at support@nedsounds.com.
Who sells to you
Orders are processed by Lemon Squeezy, our reseller and Merchant of Record. Lemon Squeezy takes the payment, issues your invoice, and handles sales tax and VAT. Its own buyer terms apply to the purchase itself.
These terms apply to the software and to your license to use it.
Your license
When you buy a nedsounds product, you get a perpetual, non-exclusive license for one person to use it on up to 2 computers that you own or use yourself, for example a studio machine and a laptop.
You activate the software with the license key sent to you by email. If you replace a computer, deactivate it from inside the software, or write to us and we'll reset your activations.
What you make is yours
Music and sound you create with our software belong to you. You can use them in any way, including commercially, with no royalties and no credit required.
What you can't do
- Share your license key or the installers with other people.
- Sell, rent, lend, give away or otherwise transfer your license to someone else. Licenses are personal and can't be transferred.
- Redistribute the software, or extract the sounds built into it and distribute them on their own, for example as a sample library.
- Get around the license check, or modify, decompile or reverse engineer the software, except where the law expressly allows it.
Free trial
If we offer a free trial, you can use the software to evaluate it for the time stated when the trial starts. After that, it needs a license to keep working.
Updates
All updates within the same major version are free. For Elude, that means every 1.x release. If we ever release a new major version as a paid upgrade, we'll say so clearly, and the version you bought keeps working.
Activation and your data
The software contacts our license server when you activate or deactivate it. After that, it works offline. What we store and why is explained in our Privacy Policy.
Refunds
Refunds are covered by our Refund Policy. When a purchase is refunded, its license is deactivated.
Third-party components
Our software includes some components from other authors, used under their own licenses. They're listed in the notices that come with the software.
When the license ends
Your license lasts as long as you follow these terms. If you break them, for example by sharing your key, the license ends and we may deactivate it.
Warranty and liability
We work hard to make our software reliable, but we can't promise it will be free of errors or work with every system and host. Please keep backups of your projects.
To the extent the law allows, we're not liable for indirect or consequential damages, such as lost projects or lost income, and our total liability is limited to the price you paid.
None of this limits rights you have under the law of your country, including legal guarantees for digital content, or our liability where the law doesn't allow it to be limited.
Governing law
These terms are governed by Italian law. If you're a consumer, you also keep the mandatory protections of the country where you live and can bring claims before its courts.
Changes
We may update these terms, for example when we release new products. We'll post the new version here with its date. Changes never take away rights you already have under a license you bought.
